These Terms of Service (“Terms”) form a binding agreement between you and Databit Limited (124 Manyani East Road, Nairobi, Kenya), the company behind Soneka. By creating a Soneka account, you confirm that you have read, understood, and agreed to these Terms. They were last updated on March 14, 2026.

1. Creating Your Account

To use Soneka, you must be at least 18 years old and provide accurate, complete information when registering. You are responsible for all activity that occurs under your account — including the actions of any team members you invite to your workspace. If you ever believe your account has been compromised, notify us immediately at security@soneka.africa. We will work with you to secure your account as quickly as possible.

2. Billing and Payments

Soneka charges subscription fees in advance, either monthly or annually depending on the plan you choose. Your subscription auto-renews at the end of each billing period unless you cancel before the renewal date.All prices are exclusive of applicable taxes such as GST or VAT. If your country requires these taxes, they will be added to your invoice at the applicable rate.You can cancel your subscription at any time from your workspace Settings page. Cancellation takes effect at the end of your current billing period — you retain full access until then.
If a payment fails, Soneka will retry the charge three times over seven days. If all retries fail, your workspace will move to a read-only state. Your data is preserved for 30 days during this period, giving you time to update your payment method and reactivate.

3. How You May Use Soneka

You agree to use Soneka in compliance with all applicable laws and regulations, including:
  • GDPR (EU General Data Protection Regulation)
  • CCPA (California Consumer Privacy Act)
  • Kenya’s Data Protection Act (No. 24 of 2019)
  • Anti-spam laws applicable in your jurisdiction
  • Meta’s WhatsApp Business Policy
You are responsible for ensuring that your use of Soneka — including messages you send to your customers — complies with these frameworks at all times.

4. Acceptable Use

The following actions are strictly prohibited on Soneka:
  • Sending spam or unsolicited messages to contacts who have not opted in
  • Sending or hosting phishing, malware, or fraudulent content
  • Distributing illegal content of any kind
  • Sending messages to contacts without valid opt-in consent
  • Harassing, threatening, or targeting individuals based on protected characteristics
  • Reverse-engineering the platform, scanning for vulnerabilities outside our bug bounty programme, or attempting to bypass rate limits

5. Your Data

You own your data. This includes your message templates, conversation flows, and all customer data you bring into or generate through Soneka. Soneka processes this data on your behalf, acting as a data processor as described in our Privacy Policy and Data Processing Agreement (DPA).Your data is protected with TLS 1.3 encryption in transit and AES-256 encryption at rest. We maintain rolling 30-day backups of all customer data.
After your account is terminated or cancelled, you have 30 days to export your data. After 90 days from termination, your data is permanently deleted from our systems.

6. Intellectual Property

Soneka’s platform — including its source code, design, algorithms, trademarks, and product names — belongs to Databit Limited. Nothing in these Terms transfers any of Soneka’s intellectual property to you.Your content — including message templates, automation flows, customer data, and any creative assets you upload — remains yours. We do not claim ownership over anything you create.If you submit feedback or suggestions about Soneka, you grant us the right to use that feedback to improve the platform without any obligation to compensate you.

7. Warranties and Service Availability

Soneka is provided “as is” without warranties of any kind. We do not guarantee that the service will be uninterrupted, error-free, or meet every specific requirement you have.
Scale plan exception: If you are on the Scale plan, you are covered by a 99.85% monthly uptime SLA. If we fall below that threshold, you are entitled to service credits. See your plan documentation for credit calculation details.

8. Limitation of Liability

To the maximum extent permitted by law:
  • Soneka’s total liability to you is capped at the total fees you paid in the 12 months prior to the event giving rise to the claim.
  • We are not liable for any indirect, incidental, consequential, or punitive damages — including lost profits, lost data, or business interruption — even if we were advised of the possibility of such damages.
These limitations apply regardless of the legal theory under which a claim is brought (contract, tort, statute, etc.).

9. Indemnification

You agree to indemnify and hold harmless Databit Limited and its officers, directors, and employees from any third-party claims, damages, or legal costs arising from:
  • Your violation of these Terms or our Acceptable Use Policy
  • Your use of Soneka in breach of applicable law
  • Any claims related to your customer data or the messages you send

10. Termination

Either party may terminate the relationship at any time. You can cancel from Settings → Billing in your workspace. Termination takes effect at the end of your current billing period. We may suspend or terminate your account immediately if you materially breach these Terms, with or without prior notice depending on the severity of the breach.

11. Governing Law and Disputes

These Terms are governed by the laws of Kenya. Any dispute that cannot be resolved informally will be submitted to binding arbitration in Nairobi, conducted in English under applicable Kenyan arbitration rules. You waive any right to a jury trial or to participate in a class action lawsuit.

12. Changes to These Terms

If we make material changes to these Terms, we will notify you by email at least 30 days before the changes take effect. Continuing to use Soneka after the effective date constitutes acceptance of the updated Terms.
